_______, hereinafter referred to as the “TRUSTEE”, in the person of the Director ________ , on the one hand, and
COMPANY in the person of the Director Mr. ________ and Finance Director T.Getts, hereinafter referred to as the “AGENT”,on the other hand, have concluded the present Contract on the following.
1. SUBJECT OF THE CONTRACT
1.1. The Agent undertakes to execute the following legal actions on behalf and at the expenses of the Trustee: providing for issuance of a loan to the Borrower by the Lender.
2. AGENT’S OBLIGATIONS
2.1. To execute the issued commission in accordance with the Trustee’s instructions and per the content of this commission
The Agent is authorized to deviate from these instructions if there is a necessity due to circumstances and for the benefit of the Trustee and the Agent could not make a previous inquiry to the Trustee or in case when the reply is not prompt
2.2. The Agent is entitled to transfer the rights and obligations per this Contract to the third person as well as to attract the foreign legal and consulting company with the purpose of maximal effectual execution of the present Contract. In this case the Agent himself, owing the right to use his own discretion, executes payments with the specified companies as soon as he gets his remuneration.
2.3. The Agent is obliged to undertake all necessary actions in order to execute the search of the Lender as well as to do all sorts of legal and organizational deeds in order to sign the Contract-Loan.
2.4. At the request of the Trustee to produce him information concerning the execution of the commission.
2.5. To guarantee confidentiality of the information which is the subject of the Trustee’s commercial secret and known to the Agent in virtue of the execution of the Trustee’s commission
3. TRUSTEE’S OBLIGATIONS
3.1. To render necessary assistance to the Agent in execution of the commission stipulated by this Contract
3.2. To pass the document necessary for the execution of the commission
3.3. When concluding the Contract-Loan with the Lender to fix there the order of remuneration repayment to the Agent in a form of an interest on amount of each shipment.
4. TERMS OF PAYMENT
4.1. Expenses incurred by the Agent when executing the present commission are to be reimbursed in case when the Contract between the Lender and the Borrower by fastening to the Agent of agency percent in the sum of 5 (five) % from the sum carried out each crediting.
4.2. The order of payment will be fixed for the Agent and will be valid within the period of the validity of the Contract including any addendums, renewals and supplements.
Such order of payment will be ensured by the Contract signed by the Lender and the Borrower. All individual settlements including this one will be specified in the final Contract. This order of payment can be transferable and divisible. All copies are recognized as originals, have legal force and are to be signed and sealed on behalf of the company Borrower
4.3. Afore-mentioned payments will be unconditionally transferred to accounts specified by the Agent in the Contract

1. МУҚАРРАРОТИ УМУМӢ
1.1. Агент ӯҳдадор аст, ки аз номи худ ва аз хароҷоти ваколатдори чунин амалҳоро иҷро кунад: амалигардонии қарз ба қарзгир аз ҷониби қарздиҳанда.
2. МУҚАРРАРОТИ АСОСӢ
2.1. Барои иҷрои супориши комиссияи додашуда мувофиқи дастурҳои Ваколатдор ва мазмуни ин комиссия
Агент ба ваколатҳое, ки аз ин дастурҳо ҷудо карда мешаванд, агар зарурият дар асоси шартҳо бошад, ва барои манфиати Ваколатдор ва Агент маълумотро ба Ваколатдор пешниҳод карда натавонад ё дар ҳолате бе ҷавоб
2.2. Агент ҳуқуқ дорад, ки ҳуқуқ ва ӯҳдадориҳои ин қарордодро ба шахси сеюм интиқол диҳад, инчунин ҷалб кардани ширкат бо ташкилотҳои ҳуқуқӣ ва машваратӣ бо мақсади татбиқи ҳадди ақали иҷрои ин шарт. Дар ин ҳолат худи Агент, бо сабаби истифодаи ихтиёрдории худ, бо пардохтҳои худ бо ширкатҳои зикршуда пардохт мекунад.
2.3. Агент ӯҳдадор аст, ки ҳамаи амалҳои заруриро барои иҷрои ҷустуҷӯи қарздиҳанда, инчунин ҳама гуна намудҳои ҳуқуқӣ ва ташкилӣ барои имзо кардани қарзи шартномавиро анҷом диҳад.
2.4. Бо дархости Ваколатдор оид ба иҷрои ӯҳдадориҳо оид ба иҷрои ӯҳдадориҳо
2.5. Барои кафолат додани махфияти маълумоте, ки мавзӯи сирри тиҷоратии Умумӣ ва ба Агентӣ маълум аст, дар натиҷаи иҷрои Комиссияи Ваколатдор
3. МУҚАРРАРОТИ ВАКОЛАТДОРИ
3.1. Барои расонидани кӯмаки зарурӣ ба Оинномаи иҷро дар бораи комиссияи пешбининамудаи шартнома
3.2. Гузаронидани ҳуҷҷати зарурӣ барои иҷрои вазифаи комиссия
3.3. Ҳангоми бастани шартномаи қарз бо қарздиҳанда оид ба пардохти музди меҳнат ба Агент дар шакли фоиз ба маблағи ҳар як бор супурда мешавад.
4. МУҚАРРАРОТИ ПАРДОХТ
4.1. Хароҷоте, ки Агент анҷом медиҳад, ҳангоми иҷрои вазифаи мазкур бояд дар ҳолатҳое, ки шартномаи байни қарздиҳанда ва қарзгир бо пули 5 (панҷ) фоиз аз ҳисоби маблағи ҳар як кредитор ба ҳам мепайвандад, ҷуброн карда мешавад.
4.2. Тартиби пардохти музояда барои Агент ба таъхир гузошта мешавад ва дар муддати амали шартнома, аз ҷумла ҳама гуна замимаҳо, таҷдид ва иловапулӣ эътибор дода мешавад.
Чунин фармоиши пардохт аз ҷониби шартнома аз ҷониби қарздиҳанда ва қарзгир имзо карда мешавад. Ҳамаи ҳисоббаробаркуниҳои инфиродӣ, аз ҷумла, ин дар шартномаи ниҳоӣ муайян карда мешаванд. Ин фармоиши пардохти интиқолшаванда ва тақсим карда мешавад. Ҳамаи нусхаҳо ҳамчун аслӣ эътироф карда шудаанд, қувваи ҳуқуқӣ доранд ва бояд аз номи ширкати қарзӣ имзо ва мӯҳр карда шаванд
4.3. Пардохтҳои ниҳоӣ ба таври ҳатмӣ ба суратҳисобҳое, ки Агенти дар шартнома пешбинишударо интиқол додаанд, гузаронида мешавад
